Terms of Service

By accessing or using Invoicely ("the Service"), operated by Zentix Pty Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Zentix Pty Ltd. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Invoicely is a cloud-based invoicing application that enables users to: • Create and manage professional invoices • Track payments and invoice status • Manage customers and products • Export invoices as PDF documents • Share invoices via public links • Send invoices via email (paid plans) • Create recurring invoice schedules (paid plans) The Service includes both free and paid tiers. Feature availability depends on your subscription plan.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

To access certain features, you must create an account. You agree to: • Provide accurate, current, and complete information • Maintain and update your information as needed • Keep your password secure and confidential • Accept responsibility for all activities under your account • Notify us immediately of any unauthorised use We reserve the right to suspend or terminate accounts that violate these Terms.

Invoicely offers a guest mode that allows you to use the Service without creating an account. Guest mode limitations: • Data is stored locally in your browser only • We have no access to guest data and cannot recover it • Guest mode is limited to the free tier allowance • Clearing browser data will permanently delete your work Guest mode data is never transmitted to our servers.

**Free Tier:** Allows a limited number of invoices per month at no cost. **Paid Plans:** Offer additional features for a monthly or annual subscription fee. **Payment terms:** • All payments are processed securely by Stripe • Subscriptions renew automatically at the end of each billing period • You may cancel at any time; cancellation takes effect at the end of the current billing period • Fees are non-refundable except as required by Australian Consumer Law • We reserve the right to change pricing with 30 days' notice **Taxes:** All prices are in Australian Dollars (AUD) and are inclusive of GST where applicable.

You agree not to: • Use the Service for any unlawful purpose • Create fraudulent, misleading, or illegal invoices • Attempt to access other users' accounts or data • Interfere with or disrupt the Service or servers • Use automated tools (bots, scrapers) to access the Service • Reverse engineer, decompile, or disassemble any part of the Service • Resell or redistribute the Service without written consent • Use the Service to send unsolicited communications (spam) • Upload malware or malicious code We reserve the right to suspend or terminate your account for violations.

Invoicely provides tools to help you create compliant invoices, but we are not a tax advisor or accounting service. **Your responsibilities:** • Ensure your invoices comply with Australian Taxation Office (ATO) requirements • Verify your ABN, GST registration, and tax obligations independently • Consult a qualified accountant or tax advisor for specific compliance questions • Maintain accurate financial records as required by law **Our tools are provided as-is:** • ATO compliance checking is based on publicly available rules and guidelines • Compliance status is advisory — it does not constitute professional tax advice • We are not liable for any penalties or losses arising from non-compliant invoices

**Our IP:** The Service, including its design, code, features, and documentation, is owned by Zentix Pty Ltd and protected by Australian and international intellectual property laws. You may not copy, modify, or distribute any part of the Service. **Your content:** You retain ownership of all data, invoices, and content you create using the Service. You grant us a limited licence to store and process your content solely to provide the Service. **Your data:** You may export your data at any time. Upon account deletion, we remove your data from our active systems within 30 days.

To the maximum extent permitted by Australian law: • The Service is provided "as is" without warranties of any kind, express or implied • We do not warrant that the Service will be uninterrupted, error-free, or secure • We are not liable for any indirect, incidental, special, or consequential damages • Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim • We are not liable for losses arising from third-party services (including Stripe, Supabase) **Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.**

You agree to indemnify and hold harmless Zentix Pty Ltd, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any applicable law • Any content you create, share, or transmit through the Service • Any disputes between you and your clients or third parties

You may terminate your account at any time by contacting us or using the account deletion feature in Settings. We may suspend or terminate your access to the Service at any time, with or without notice, for: • Violation of these Terms • Non-payment of subscription fees • Conduct that we reasonably believe is harmful to other users or the Service • Legal or regulatory requirements Upon termination: • Your right to use the Service ceases immediately • We will retain data as described in our Privacy Policy • You may request export of your data within 30 days of termination • Provisions that by their nature should survive termination will remain in effect

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Australia. If you are a consumer under Australian Consumer Law, you may also have rights under the Australian Consumer Law that cannot be excluded by agreement.

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
